1. Introduction

These General Terms and Conditions (“Terms”) govern the relationship between Zest (“we,” “our,” “us”) and our clients, users, and website visitors (“you,” “your”). By using our services, engaging with us, or accessing our website, you agree to comply with these Terms.

2. Scope of Services

Zest provides marketing, brand strategy, content creation, and related services. Specific services to be provided will be outlined in individual agreements or proposals. Any modifications to services must be agreed upon in writing.

3. Client Responsibilities

You agree to:

  • Provide accurate and complete information necessary for the performance of our services.
  • Respond promptly to our requests for approvals, feedback, and information.
  • Ensure that any materials provided to us do not infringe on third-party rights or violate applicable laws.

4. Fees and Payment Terms

4.1 Fees

  • Fees for our services will be specified in individual agreements or invoices.

4.2 Payment Terms

  • Invoices must be paid within 30 days of the invoice date, unless otherwise agreed.
  • Late payments may incur a late payment fee of 10% per month.

4.3 Taxes

  • All fees are exclusive of VAT and other applicable taxes, which will be added to your invoice.

5. Intellectual Property

5.1 Ownership

  • Upon full payment, you will receive ownership of any deliverables created specifically for you. Zest retains ownership of pre-existing materials and methodologies used in the creation of deliverables.

5.2 License

  • We grant you a non-exclusive, non-transferable license to use our deliverables for their intended purposes.

5.3 Third-Party Content

  • Any third-party content incorporated into deliverables is subject to the licensing terms of the original provider.

6. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information exchanged during the course of the engagement. Confidential information may not be disclosed to third parties without prior written consent, except as required by law.

7. Limitation of Liability

To the fullest extent permitted by law, Zest shall not be liable for:

  • Indirect, incidental, or consequential damages.
  • Loss of profits, revenue, or data.
  • Any damages exceeding the total fees paid by you in the six months preceding the claim.

8. Termination

8.1 Termination by Client

  • You may terminate our services by providing written notice of at least 30 days.

8.2 Termination by Zest

  • We may terminate services immediately if you fail to comply with these Terms or fail to make timely payments.

8.3 Effect of Termination

  • Upon termination, you are responsible for paying for services rendered up to the termination date.

9. Governing Law and Jurisdiction

These Terms are governed by the laws of Belgium. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Gent.

10. Force Majeure

We shall not be held liable for delays or failure to perform our obligations due to events beyond our reasonable control, including but not limited to natural disasters, strikes, or government actions.

11. Amendments

We reserve the right to amend these Terms at any time. Any changes will be communicated to you and posted on our website with an updated “Effective Date.”
